By accessing the website, requesting a demo, or using the Platform, you agree to these Terms.

We may update, enhance, or modify features to improve security and functionality, provided such changes do not materially degrade subscribed core functionality without reasonable notice.
Authorized Users must maintain confidentiality of login credentials and notify their administrator and RD Neutron promptly of suspected unauthorized access. Customers are responsible for user provisioning, role assignment, and activity conducted under their tenant accounts.

RD Neutron provides software tools to support HR workflows; Customers remain responsible for statutory filings, remittances, and final compliance decisions unless explicitly agreed otherwise in writing.
Pricing is shared on request based on organization size and module requirements. Paid subscriptions, billing cycles, taxes (including GST where applicable), payment methods, and late payment consequences will be specified in the commercial agreement or invoice. Failure to pay may result in suspension of Services after reasonable notice.
Each party shall protect the other's confidential information using reasonable care and use it only for purposes of performing obligations under the service relationship. Confidential information does not include data that is publicly available without breach, independently developed, or lawfully received from a third party.
Processing of personal data is governed by our Privacy Policy and applicable Indian data protection law, including the DPDP Act, 2023. Customers act as Data Fiduciary for employee HR data; RD Neutron processes such data to deliver the subscribed Services.
We aim to maintain reliable Platform availability but do not guarantee uninterrupted access. Scheduled maintenance, upgrades, or events beyond our reasonable control may cause temporary downtime. Support channels and response expectations will be defined in the applicable service plan or agreement.
To the fullest extent permitted by Indian law, the website and Platform are provided on an "as is" and "as available" basis. RD Neutron disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be error-free or that payroll outputs eliminate the Customer's independent compliance obligations.
To the maximum extent permitted under applicable law, RD Neutron shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity. Our aggregate liability arising from or relating to the Services shall not exceed the total fees paid by the Customer to RD Neutron in the twelve (12) months preceding the claim, except where liability cannot be limited under Indian law.
Customers agree to indemnify and hold RD Neutron harmless against claims, losses, and expenses arising from: (a) unlawful Customer Data or misuse of the Platform by Authorized Users; (b) breach of these Terms; or (c) violation of applicable laws by the Customer, except to the extent caused by RD Neutron's wilful misconduct or gross negligence.
We may suspend or terminate access for material breach, non-payment, security threats, or unlawful use, with notice where practicable. Customers may terminate according to their service agreement. Upon termination, access ceases and data retention/export will follow the agreed terms and applicable law.
Neither party shall be liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, government action, internet outages, or infrastructure failures, provided reasonable efforts are made to resume performance.
These Terms are governed by the laws of the Republic of India. Subject to applicable statutory remedies, the courts at Bhopal, Madhya Pradesh shall have exclusive jurisdiction over disputes arising from or relating to these Terms, the website, or the Platform.
Parties shall first attempt to resolve disputes amicably through good-faith negotiation within thirty (30) days of written notice. If unresolved, either party may pursue remedies before the competent courts in Bhopal, Madhya Pradesh, unless the parties agree in writing to arbitration under the Arbitration and Conciliation Act, 1996.
We may revise these Terms by posting an updated version on rdneutron.com. Continued use after the effective date of changes constitutes acceptance. Material changes to subscribed Services may require separate agreement with Customers.
If any provision of these Terms is held invalid or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect.
